1. Agreement to These Terms
By using a Streetwise Software Online website, product, file, tool, download, submission system, account, or service, you agree to these Terms and the applicable Privacy Policy. If you do not agree, do not use the affected service.
“Streetwise,” “we,” “our,” and “us” mean Streetwise Software Online. “You” and “your” mean the visitor, customer, client, account holder, artist, advertiser, submitter, or other user.
2. Services Covered
Streetwise may provide website design, software development, digital tools, creative and photographic services, online media projects, music-related services, advertising or promotional pages, downloads, hosting-related setup, support, and related technical services.
A quote, invoice, statement of work, license, checkout page, project agreement, or other written terms may add to or modify these Terms for a specific project. If there is a direct conflict, the more specific written agreement controls for that project.
3. Eligibility and User Responsibilities
- Use the service only for lawful purposes and in compliance with applicable agreements.
- Provide accurate information when information is required to complete a project, transaction, account, or support request.
- Maintain your own copies of important source files, media, credentials, business records, and project materials unless a written agreement specifically assigns backup responsibility to Streetwise.
- Review information you supply for accuracy, including names, prices, contact information, addresses, policies, links, and licensing rights.
4. Accounts, Passwords, Passkeys, and Administrative Access
Some services include private administration areas, dashboards, upload tools, or approval systems. You are responsible for protecting your credentials, devices, recovery information, and authorized access.
Streetwise may offer optional WebAuthn passkeys and optional passkey confirmation after password login. A passkey is tied cryptographically to the Streetwise domain and is managed by the user's compatible authenticator. Password login remains available unless an authorized account holder deliberately enables an additional account-security requirement.
Notify Streetwise promptly if you believe an account or credential has been compromised. We may temporarily restrict or reset access when reasonably necessary to protect the service, its users, or data.
5. Acceptable Use
You may not use a Streetwise service to:
- Violate law, contract, intellectual-property rights, privacy rights, publicity rights, or other legal rights.
- Upload malware, destructive code, phishing content, intentionally deceptive material, or files intended to compromise a system.
- Attempt unauthorized access, bypass access controls, attack authentication systems, scrape protected content in violation of applicable restrictions, or interfere with service operation.
- Submit content you do not own or lack permission to use, publish, license, stream, distribute, or promote.
- Impersonate another person or misrepresent authorization to act for a business, artist, customer, or account owner.
6. User Content and Project Materials
When you submit music, images, artwork, photographs, logos, business information, advertising, biographies, text, files, links, metadata, or other project material, you represent that you own the material or have the permissions required for the requested use.
You grant Streetwise a non-exclusive, worldwide, royalty-free license to host, store, reproduce, technically modify, display, transmit, and otherwise use the submitted material only as reasonably necessary to perform the requested service, operate the applicable project, provide support, or publish material you authorized for public display. This license does not transfer ownership of your original content to Streetwise.
Streetwise may refuse or remove content that reasonably appears unlawful, infringing, malicious, deceptive, or outside the agreed project scope.
7. Music, Media, Advertising, and Third-Party Rights
You are responsible for obtaining rights and permissions for samples, beats, vocals, recordings, compositions, artwork, photographs, trademarks, releases, advertisements, and other third-party material you provide.
Unless a written agreement states otherwise, placement on a Streetwise project does not guarantee streams, sales, traffic, rankings, approvals, revenue, publicity, or any particular business result.
8. Purchases, Payments, and Refunds
Prices, availability, payment methods, and service descriptions may change before an order is accepted. You agree to pay charges you authorize.
Digital downloads, completed custom work, development, design, setup work, advertising already delivered, and other services that have been substantially performed may be non-refundable to the extent permitted by law and the specific purchase terms. This does not eliminate any refund, cancellation, warranty, or other right that applicable law makes non-waivable.
If Streetwise approves a refund or a project-specific written agreement provides a refund right, that agreement will be honored according to its terms.
9. Client Review, Approval, and Launch
For custom websites, software, design, and media projects, the client is responsible for reviewing drafts and test builds before approval or launch. This includes spelling, contact details, prices, links, images, legal copy supplied by the client, payment settings, business information, and content permissions.
Streetwise remains responsible for performing the work promised in the applicable written project scope; a client approval does not waive rights that cannot lawfully be waived.
10. Streetwise Intellectual Property
Streetwise retains its rights in its original source code, frameworks, tools, templates, documentation, branding, designs, methods, and other materials except where a written agreement expressly transfers or licenses particular rights.
You may use delivered materials within the license or ownership terms agreed for your project. You may not falsely claim authorship or ownership of Streetwise intellectual property or redistribute separately licensed Streetwise products beyond the rights granted to you.
11. Copyright and Rights Complaints
If you believe material on a Streetwise-operated website infringes a copyright, trademark, privacy right, or other right, send sufficient information to identify the material, explain the claimed right, and allow us to investigate. Contact joni@streetwisesoftware.online.
12. Third-Party Services and Links
Streetwise projects may link to or depend on third-party hosting, payment providers, domain registrars, APIs, social networks, music platforms, email providers, storage services, or customer-controlled systems. Third parties control their own terms, privacy practices, availability, pricing, security decisions, and platform changes.
Streetwise is not responsible for a third party's independent acts or omissions, but this section does not limit any responsibility Streetwise may have for its own conduct under applicable law or a written agreement.
13. Availability, Maintenance, and Changes
Websites and software may require maintenance, updates, security changes, or temporary downtime. Streetwise does not promise uninterrupted operation or compatibility with every future browser, device, operating system, host, API, plugin, or third-party platform unless a written service agreement specifically provides that commitment.
14. Security
Streetwise uses security controls appropriate to the services it operates, but no internet-connected system can guarantee that unauthorized access will never occur. Users must use unique credentials, protect recovery information, keep their devices reasonably secure, and report suspected account compromise promptly.
Attempting to obtain unauthorized access to a Streetwise administrative area or another user's account is prohibited.
15. Disclaimers
Except for express commitments in a written agreement and rights that cannot legally be excluded, services are provided “as is” and “as available.” To the fullest extent permitted by law, Streetwise disclaims implied warranties to the extent those warranties may lawfully be disclaimed.
We do not guarantee search ranking, traffic, sales, revenue, streams, third-party approvals, permanent third-party integrations, or uninterrupted operation unless the applicable written agreement expressly states otherwise.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Streetwise will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from a service, including loss of profits, opportunities, or data, where such damages may lawfully be limited.
For a paid service, and only to the extent permitted by law, Streetwise's aggregate liability arising from that specific service will not exceed the amount paid to Streetwise for the service giving rise to the claim during the twelve months before the event giving rise to the claim. This limitation does not apply where applicable law prohibits the limitation or where a written agreement provides greater rights.
17. Indemnification
To the extent permitted by law, you agree to indemnify Streetwise against third-party claims caused by content you supplied without the required rights, your unlawful use of a service, or your material breach of these Terms. This obligation does not require you to indemnify Streetwise for Streetwise's own unlawful conduct, gross negligence, or willful misconduct where such an exclusion is required by law.
18. Suspension and Termination
Streetwise may restrict or terminate access when reasonably necessary because of nonpayment, material breach, unlawful activity, security risk, malicious use, or threats to users or systems. When practical and appropriate, we will provide notice and an opportunity to resolve an ordinary account or billing issue.
Termination does not erase payment obligations already incurred, ownership rights, confidentiality obligations, or provisions that by their nature should survive termination.
19. Privacy
Our Privacy Policy describes how Streetwise handles personal data, privacy requests, Colorado privacy rights where applicable, passkey data, security logs, and related practices. It is incorporated into these Terms for the handling of personal data.
20. Colorado Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable law requires a different rule.
Unless a project-specific written agreement or applicable law requires another forum, disputes that cannot be resolved informally may be brought in a court with lawful jurisdiction in Colorado. Nothing in these Terms prevents a consumer from using a government complaint process or exercising a statutory right that cannot lawfully be restricted.

We may update these Terms when our services, practices, or legal obligations change. The “Last Updated” date identifies the current version. Material changes will receive additional notice when required by applicable law or an applicable contract.
23. Severability and Entire Terms
If a provision of these Terms is held unenforceable, the remaining provisions remain effective to the extent legally possible. These Terms, together with the Privacy Policy and any applicable project-specific written agreement, form the agreement governing the covered service.
